Terms and Conditions

Please read these Terms and Conditions (the "Terms") carefully before using ShadowingGO (the "Service"). By accessing or using the Service, You agree to be bound by these Terms. If You do not agree, please do not use the Service.

About the Operator

The Service is operated under the name ShadowingGO. For any inquiries about these Terms, please contact us at support@shadowinggo.com.

Acceptance and Age Requirement

By using the Service, You represent that You are at least 13 years of age. If You are under the age of majority in Your jurisdiction, You must obtain consent from a parent or legal guardian before using the Service.

Your access to and use of the Service is also conditioned on Your acceptance of, and compliance with, our Privacy Policy.

Service Description

ShadowingGO is a web and mobile application that supports English shadowing practice using YouTube videos. Features include subtitle display, audio playback, microphone recording, speech-to-text transcription, and comparison with source subtitles.

Practice is supported only for YouTube videos that meet both of the following conditions: (i) the video is less than 60 minutes in length, and (ii) English subtitles are available on YouTube for that video. Videos that do not meet these conditions cannot be used for practice.

The transcription, scoring, and comparison results are provided as learning support only, and We do not guarantee their accuracy or any particular learning outcome.

Accounts

Some features require account registration. You agree to provide accurate and current information when creating an account and to keep that information up to date. You are responsible for safeguarding Your login credentials and for all activity that occurs under Your account.

Please notify us promptly at support@shadowinggo.com if You become aware of any unauthorized use of Your account.

Subscriptions and Billing

Subscription Plans

Some features of the Service are available only through a paid subscription. Subscriptions are billed in advance on a recurring basis (monthly or annually), depending on the plan You select.

Auto-Renewal

Subscriptions automatically renew at the end of each billing period at the then-current rate, unless cancelled by You or by the Company before the renewal date.

Cancellation

You may cancel Your subscription at any time through the store or billing provider where the purchase was made:

  • iOS / iPadOS — manage and cancel through Your Apple ID subscription settings.
  • Android — manage and cancel through Your Google Play subscriptions.
  • Web — manage and cancel through the RevenueCat Web Billing customer portal accessible from the Service.

Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date.

Refunds

Except where required by applicable law, paid subscription fees are non-refundable. Refund requests may be considered on a case-by-case basis at the sole discretion of the Company. Refunds for purchases made through Apple or Google Play are subject to the respective store's refund policies.

Fee Changes

We may modify subscription fees from time to time. Any change will take effect at the end of the then-current billing period. We will provide reasonable prior notice of any material fee change to give You an opportunity to cancel before the change takes effect.

Speech-to-Text and Practice Data

The Service transmits audio captured during practice to a third-party Speech-to-Text (STT) provider to produce transcriptions and practice results. We do not store the audio recordings themselves on our servers; only the transcription text and derived practice results are retained. See our Privacy Policy for details. The transcription, scoring, and comparison results are provided for learning support and are not guaranteed to be accurate.

Speech-to-Text Fair Use Policy

The Service, including the Speech-to-Text (STT) feature, is intended for personal language-learning use. For typical learners, ordinary use will not encounter any usage cap.

Because STT relies on paid third-party speech recognition infrastructure, the following fair use rules apply to preserve service quality and availability for all users.

Monthly Threshold and Automatic Suspension

When recognized STT audio for Your account reaches approximately 30 hours within a monthly usage cycle, the STT feature is automatically suspended for the remainder of that cycle. During suspension, You can continue to use other parts of the Service, but You cannot start new practice sessions that require STT processing.

Survey and Review-Based Release

When suspension is triggered, You will be directed to a short in-app survey asking about Your usage purpose, expected monthly usage, and any additional context. After You submit the survey, We review Your response. If We determine that Your usage is reasonable and consistent with personal language-learning use, We may lift the suspension and allow You to resume STT use within the same monthly period. Until the suspension is lifted, STT remains unavailable.

Submission of the survey does not guarantee release. We may decline to lift a suspension, or apply additional reasonable measures, if Your usage is inconsistent with personal language-learning use, if the survey response is incomplete or implausible, or if other circumstances warrant doing so.

Prohibited Uses

The following uses are prohibited regardless of volume, and may result in suspension or termination without survey-based release:

  • Use by bots, scripts, or other automated means;
  • Commercial transcription or resale of STT output;
  • Batch transcription of pre-recorded media libraries, podcasts, lectures, meetings, or other content not produced by You in the course of practicing shadowing;
  • Sharing a single account across multiple individuals or organizations;
  • Any use intended to circumvent usage limits or impose a disproportionate load on the Service or its underlying providers.

The 30-hour threshold is a fair use guideline, not a contractual entitlement, and may be adjusted from time to time to reflect changes in third-party provider pricing, abuse patterns, or service economics. We will not apply usage-based restrictions to ordinary personal learning use in good faith beyond the process described above.

YouTube and Third-Party Content

The Service uses YouTube and other third-party content and services. You are responsible for complying with the terms of service, copyright, and other usage conditions of any third-party services You access through the Service. We do not guarantee the availability, accuracy, or continued provision of third-party content.

Intellectual Property

All rights in the software, design, logos, text, and other content of the Service belong to the Company or its rightful owners. These Terms do not transfer any such rights to You. You may not copy, modify, distribute, sell, or create derivative works of the Service except as expressly permitted.

Prohibited Conduct

You agree not to:

  • Violate any applicable law, third-party right, or these Terms;
  • Use the Service in ways We have not authorized, reverse engineer the Service, or impose excessive load on the Service;
  • Use speech recognition results or subtitle data for bulk processing or resale not contemplated by the Service;
  • Use another person's account, or transfer Your account credentials to a third party;
  • Engage in conduct that harms the Company or any third party;
  • Upload or transmit content that is unlawful, infringing, defamatory, harassing, or otherwise objectionable.

Copyright Complaints

We respect the intellectual property rights of others. If You believe that content available through the Service infringes Your copyright, please contact us at support@shadowinggo.com with: (i) Your contact information; (ii) a description of the copyrighted work and the allegedly infringing material, including its location within the Service; and (iii) a statement, under penalty of perjury, that You are the copyright owner or authorized to act on the owner's behalf and that the use is not authorized. Upon receipt, We will take such action as We deem appropriate in our sole discretion.

Service Changes and Account Termination

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to You or any third party for any such modification, suspension, or discontinuance, to the extent permitted by applicable law.

We may suspend or terminate Your account without prior notice if You breach these Terms. You may terminate Your account at any time through the account deletion process described in our Privacy Policy.

Disclaimer

The Service is provided "AS IS" and "AS AVAILABLE" without warranty of any kind. To the maximum extent permitted by applicable law, We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, that any errors will be corrected, or that any particular learning outcome will be achieved.

Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising out of or related to the Service or these Terms.

In any case, the Company's total aggregate liability arising out of or relating to the Service or these Terms shall not exceed the greater of (a) the amount actually paid by You for the Service in the twelve (12) months preceding the event giving rise to the liability, or (b) JPY 10,000.

Governing Law and Disputes

These Terms are governed by the laws of Japan, without regard to conflict-of-law principles. Any dispute arising out of or relating to the Service or these Terms shall first be addressed through good-faith discussion. If the dispute cannot be resolved, the parties submit to the exclusive jurisdiction of the courts of Japan as the court of first instance.

Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Translation

These Terms may be made available in multiple languages. In the event of any conflict between language versions, the Japanese version shall prevail.

Changes to These Terms

We may modify these Terms from time to time. For material changes, We will make reasonable efforts to provide at least 30 days' prior notice through the Service or by other reasonable means. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
